Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CodeSpring, including the codespring.app website and the CodeSpring app, tools and related services (the “Service”). By creating an account, subscribing, or using the Service, you agree to be bound by these Terms.

Two other documents form part of your agreement with us and should be read alongside these Terms: our Privacy Policy, which explains what data we collect and how we track visitors, and our Refund & Cancellation Policy, which sets out how subscriptions, cancellations and refunds work. Where these Terms summarise either of those policies, the policy itself is the fuller statement.

1. Who You Are Contracting With

CodeSpring is operated by Volkis Ltd, a company registered in England and Wales with company number 13309940. Registered office: 4th Floor, Silverstream House, 45 Fitzroy Street, Fitzrovia, London, W1T 6EB. In these Terms, “Company,” “CodeSpring,” “we,” “us” and “our” mean Volkis Ltd trading as CodeSpring.

• “Service” refers to the CodeSpring software platform, including all tools, features, credits and resources.
• “User,” “you” or “your” refers to the individual or entity using the Service.

2. Use of Service

2.1 Eligibility. You must be at least 18 years old to use the Service.

2.2 Account Registration. You agree to provide accurate and complete information when registering for an account.

2.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.4 Signing In. You can sign in with Google, with GitHub, or with an email magic link. You are responsible for keeping control of the account or inbox you sign in with, because whoever controls it can reach your CodeSpring account.

2.5 API Keys. You may create API keys to use the Service programmatically. Keys are personal to your account, must be kept confidential, and you are responsible for everything done with them. Tell us at support@codespring.app if a key is exposed so we can revoke it.

2.6 Teams and Organisations. If you join or create an organisation, other members of that organisation can see and work on the projects shared within it. If you are added to an organisation by someone else, the person or business that owns it controls that workspace and the content in it.

3. Intellectual Property

3.1 Ownership. All content, software, text, graphics, logos, and related materials within the Service are owned by or licensed to CodeSpring.

3.2 License. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or business purposes, subject to these Terms.

3.3 Restrictions. You may not:

• Reproduce, copy, or redistribute the Service or its content;
• Reverse engineer, decompile, or attempt to derive the source code;
• Rent, lease, or sublicense the Service.

4. Your Content, AI Output & Derivative Works

4.1 Your Content. Any applications, documents, or materials you create using CodeSpring are yours. We claim no ownership over your output. “Your Content” means everything you put into the Service, including projects, mind maps, features, PRDs, tasks, notes, wireframes, messages you send in a conversation, and files and documents you upload.

4.1a Codebase Audits. If you purchase a CodeSpring codebase audit, the access you grant us to your repository is additionally covered by our Code Confidentiality Agreement, which applies automatically on purchase of an audit and needs no signature. It sets out what we may and may not do with what we see, and it does not change 4.1: your code, your product and your idea remain yours.

4.2 Limitations. You may not resell, redistribute, or sublicense access to the Service itself, or share your account with others.

4.3 You Are Responsible for What You Upload. You are responsible for Your Content. You confirm that you have the right to put it into the Service, that doing so does not break the law or infringe anyone else's rights, and that you are permitted to share it with us and with the providers that power the features you use. Do not upload other people's personal information unless you are entitled to do so, and do not upload material you are under a duty of confidence not to share.

4.4 Permission to Process Your Content. To run the Service we need permission to host, store, copy, transmit and display Your Content, and to send it to the providers that deliver the feature you are using, including our AI provider. You grant us a non-exclusive, worldwide, royalty-free licence to do these things for as long as you use the Service, and only for the purpose of providing and supporting it. Those providers, and what is sent to them, are named in our Privacy Policy.

4.5 AI Output. Parts of the Service generate output using AI models run by a third-party provider. AI output can be inaccurate, incomplete, out of date, or unsuitable for your purpose, and similar output may be generated for other users. You are responsible for reviewing, testing and verifying anything you rely on, in particular code, plans and documents you put in front of a client or into production. Do not use the Service as a substitute for professional legal, financial, medical or other regulated advice.

4.6 Acceptable Use of the AI Features. You may not use the AI features to generate or distribute unlawful material, malware or code designed to cause harm, content that infringes someone else's intellectual property or privacy, or material that harasses, defames or exploits anyone. You may not attempt to extract, reverse engineer or interfere with the underlying models, prompts or systems, resell the AI features as a standalone service, or put automated volume through them beyond ordinary use of the product. We may apply credit limits, rate limits and fair use limits, and may decline or stop a request that breaches this section.

5. User Conduct

You agree not to:

• Use the Service for unlawful purposes;
• Violate third-party intellectual property rights;
• Attempt to gain unauthorized access to the Service;
• Upload or transmit malicious code, bots, or automated scraping tools;
• Share your account, login credentials or API keys with anyone else;
• Work around credit limits, usage limits, rate limits or fair use provisions;
• Connect a repository or a third-party service you are not authorised to connect.

6. Payments, Refunds & Cancellations

6.1 Subscription Fees. The Service is provided on a recurring subscription basis (monthly or yearly) and renews automatically unless cancelled before the next billing date. Payments are taken by our payment provider, Whop, and are subject to their terms as well as ours.

6.2 Refunds. Subscription sales are final. We do not issue refunds for change of mind, lack of usage, or short periods of use. The one exception, set out in section 1.3 of our Refund & Cancellation Policy, is a verified technical failure on our side that prevents you from accessing the platform entirely for more than 72 consecutive hours after purchase and that we cannot remedy. In that case we may, at our discretion, offer a proportionate credit or refund.

6.3 Cancellation. You may cancel at any time through your account settings or by emailing support@codespring.app. Cancellation stops future billing, and you keep access until the end of the billing period you have already paid for. We do not provide partial refunds for unused time, credits or features.

6.4 Digital Access Waiver. By subscribing, you request immediate access to digital content and you agree to waive the 14-day right of withdrawal under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, which is lost once delivery of that content begins with your consent.

6.5 Your Statutory Rights. Nothing in these Terms or in our Refund & Cancellation Policy removes or limits any right you have as a consumer under UK law that cannot be excluded by agreement.

7. Support & Disputes

7.1 Official Support Channels:

7.2 Direct Resolution First. Before starting a chargeback or a dispute with a third party, you agree to contact us through the channels above and give us at least 24 hours to investigate and put things right, as set out in section 4 of our Refund & Cancellation Policy.

7.3 Third-Party Resolution Portals. Payment platform “resolution cases” are not how we manage support and opening one does not replace contacting us. Doing so without first using our support process may be treated as a breach of these Terms and of our Refund & Cancellation Policy.

7.4 Chargebacks. You agree not to initiate a chargeback for services that were accessible to you or provided as described. If you do, we may suspend or terminate your account, revoke licences and credits, and seek recovery of the fees and reasonable dispute-handling costs. Where permitted by law and by your payment provider's rules, an administrative charge of £29 may be applied if you start a dispute without first following the support process in 7.2.

8. Connected Accounts, Integrations & Third-Party Costs

8.1 Third-Party Costs. The Service may integrate with third-party tools or APIs. You are responsible for any fees charged by those third parties (e.g., hosting, data services, external APIs).

8.2 GitHub. Signing in with GitHub grants CodeSpring access to your repositories. CodeSpring uses that access to read repository metadata and to write CodeSpring generated files, such as PRDs and plans, into the repositories you choose. You are responsible for choosing which repositories to connect and use, for making sure you are permitted to connect a repository that belongs to an employer, client or other organisation, and for reviewing what is written to it before you merge or ship it. You can revoke CodeSpring's access at any time from your GitHub account settings.

8.3 Integrations You Connect Yourself. You can connect the Service to other services, including MCP servers. When you do, Your Content is shared with the service you connected. Those connections are made and controlled by you, the provider's own terms and privacy policy apply to what they do with the data, and we are not responsible for their availability, security or handling of it. Disconnect an integration if you no longer want content shared with it.

8.4 Changes by Third Parties. Third-party services can change, restrict or withdraw their APIs at any time. If that happens, a related feature of the Service may change or stop working, and that on its own is not a failure on our part.

9. Privacy, Cookies and Tracking

9.1 Privacy Policy. How we handle your personal information is set out in our Privacy Policy, which forms part of these Terms. It names every analytics and advertising tool we run on our website, names the providers that process data inside the app, explains what we send to our AI provider, explains that we use session recording on the website and in the app, and explains what that captures. Please read it before you sign up.

9.2 Cookies and Tracking on Our Website. Our website runs analytics, session recording and advertising scripts, and they load when a page loads rather than after you agree to them. There is no cookie banner and no cookie settings panel on the site. Section 5 of the Privacy Policy names every tool and says what each one does.

9.3 Stopping It. Section 8 of the Privacy Policy sets out the controls that work: your browser's cookie and tracking settings, a content blocker, the ad settings on your Meta, Google and TikTok accounts, and emailing support@codespring.app to object or to ask us to delete what we hold about your visits. Accepting these Terms is not permission for that tracking and is not treated as permission for it, and objecting to it does not change your agreement to these Terms.

9.4 Deleting Your Data. You can ask us to delete your account and the content in it by emailing support@codespring.app from the address on your account, as described in the Privacy Policy.

10. Disclaimer of Warranties

10.1 The Service is provided “as is” and “as available.”

10.2 To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10.3 We do not warrant that the Service will be uninterrupted, error-free, or secure.

10.4 CodeSpring helps you plan and build software. We do not guarantee any particular business result, income, or that anything you build with it will work for your purpose.

10.5 We do not warrant that AI generated output is accurate, complete, original or fit for your purpose, as set out in 4.5, and we are not responsible for decisions you take on the basis of it without checking it.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, CodeSpring shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

11.2 Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded or limited under the law of England and Wales.

12. Indemnification

You agree to indemnify and hold harmless CodeSpring from any claims, damages, or expenses (including legal fees) arising out of:

• Your use of the Service;
• Violation of these Terms;
• Infringement of any third-party rights;
• Your Content, and the repositories and third-party services you choose to connect.

13. Suspension & Termination

13.1 We may suspend or terminate your access, without refund, for abuse, fraudulent activity, or breach of these Terms, including the fair use provisions in section 6 of our Refund & Cancellation Policy.

13.2 You may stop using the Service at any time by cancelling your subscription as described in 6.3.

13.3 Deleting Your Account. To have your account and the content in it deleted, email support@codespring.app from the address on your account. Deletion is permanent and we cannot restore project content afterwards, so make your own copy of anything you want to keep before you ask. We keep the billing and tax records the law requires us to keep.

14. Governing Law & Jurisdiction

14.1 These Terms are governed by the laws of England and Wales.

14.2 You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising under these Terms, except where mandatory law in your country of residence gives you the right to bring proceedings elsewhere.

15. Changes to Terms

We may update these Terms from time to time. The date at the top shows when they last changed. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
