Terms of Service

Welcome to CodeSpring.app (“CodeSpring”). These Terms of Service (“Terms”) govern your access and use of our software, tools, and related services (the “Service”). By creating an account, subscribing, or using the Service, you agree to be bound by these Terms.

1. Definitions

  • “Company,” “we,” “us,” or “our” refers to CodeSpring.app.
  • “Service” refers to the CodeSpring software platform, including all tools, features, credits, and resources.
  • “User,” “you,” or “your” refers to the individual or entity using the Service.

2. Use of Service

2.1 Eligibility. You must be at least 18 years old to use the Service.

2.2 Account Registration. You agree to provide accurate and complete information when registering for an account.

2.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Intellectual Property

3.1 Ownership. All content, software, text, graphics, logos, and related materials within the Service are owned by or licensed to CodeSpring.

3.2 License. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or business purposes, subject to these Terms.

3.3 Restrictions. You may not:

  • Reproduce, copy, or redistribute the Service or its content;
  • Reverse engineer, decompile, or attempt to derive the source code;
  • Rent, lease, or sublicense the Service.

4. User Content & Derivative Works

4.1 Your Content. Any applications, documents, or materials you create using CodeSpring are yours. We claim no ownership over your output.

4.2 Limitations. You may not resell, redistribute, or sublicense access to the Service itself, or share your account with others.

5. User Conduct

You agree not to:

  • Use the Service for unlawful purposes;
  • Violate third-party intellectual property rights;
  • Attempt to gain unauthorized access to the Service;
  • Upload or transmit malicious code, bots, or automated scraping tools.

6. Payments, Refunds & Cancellations

6.1 Subscription Fees. The Service is provided on a recurring subscription basis (monthly or yearly) and renews automatically unless cancelled before the next billing date.

6.2 No Refunds. All subscription sales are final. We do not issue refunds for change of mind, lack of usage, or brief trial periods. See our Refund & Cancellation Policy for details.

6.3 Cancellation. You may cancel your subscription at any time through your account settings. You will retain access until the end of your current billing period. No partial refunds are provided.

6.4 Digital Waiver. By subscribing, you request immediate access to the Service and waive your statutory 14-day right of withdrawal under the Consumer Contracts Regulations 2013.

7. Support & Disputes

7.1 Official Support Channels:

7.2 Direct Resolution Required. You agree to contact us through the above channels and allow us a reasonable opportunity to resolve any issues before initiating chargebacks or third-party disputes.

7.3 Prohibited Resolution Methods. Payment platform “resolution cases” are not considered valid support requests. Initiating disputes outside our support process may result in suspension or termination of your account.

7.4 Chargebacks. By using the Service, you agree not to initiate chargebacks for services delivered or accessible. If you do, we may suspend or revoke your account, recover fees, and apply a £29 administrative charge where permitted.

8. Third-Party Costs & Integrations

The Service may integrate with third-party tools or APIs. You are responsible for any fees charged by those third parties (e.g., hosting, data services, external APIs).

9. Disclaimer of Warranties

9.1 The Service is provided “as is” and “as available.”

9.2 We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9.3 We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, CodeSpring shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.

10.2 Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CodeSpring from any claims, damages, or expenses (including legal fees) arising out of:

  • Your use of the Service;
  • Violation of these Terms;
  • Infringement of any third-party rights.

12. Governing Law & Jurisdiction

12.1 These Terms are governed by the laws of England and Wales.

12.2 You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising under these Terms.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
